The Law

In Zimbabwe, sustainability reporting has transitioned from a voluntary "best practice" to a mandatory regulatory requirement for all entities listed on the Zimbabwe Stock Exchange (ZSE) and the Victoria Falls Stock Exchange (VFEX). This mandate is primarily driven by Statutory Instrument 134 of 2019 (Securities and Exchange Listings Requirements Rules), specifically sections 399 to 404, which require issuers to disclose their sustainability policies, risk mitigation strategies and performance data.
 

To provide a clear roadmap for compliance, the exchanges issued ZSE Practice Note 16 and VFEX Practice Note 2. These regulations, which became fully enforceable for financial years commencing on or after January 1, 2024, require companies to report on core Environmental, Social and Governance (ESG) metrics.
